1. Acceptance of Terms
By accessing or using the website at www.camsoftwarellc.com (the "Site"), submitting any form, creating an account, or purchasing services from CAM Software LLC ("we," "us," or "our"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, do not use our Site or services.
Your use of the Site is also subject to our Privacy Policy, which describes how we collect, use, store, and protect your information. The Privacy Policy is incorporated into these Terms by reference.
2. Services
CAM Software LLC provides mobile-led product engineering and leadership services. Current public engagement descriptions include:
- Embedded Product Engineering Leadership — an initial 90-day, staged engagement covering understanding and alignment, authorized implementation and improvement, and stabilization and ownership transfer for one defined mobile-led product and team
- Product Recovery and Replatforming — situations that may be addressed within Embedded Product Engineering Leadership when an inherited, unstable, difficult-to-release, or aging product requires coordinated technical and delivery change
- Technical Audit — a separately scoped, bounded technical review for due diligence, vendor handoff, or a defined architecture, release, performance, maintainability, or secure-development question
An engagement may include mobile and tablet applications, responsive product web surfaces, APIs, data, authentication, cloud infrastructure, CI/CD, observability, documentation, and AI-enabled delivery workflows when included in the signed scope. CAM Software LLC may narrow, staff with a disclosed qualified specialist, separately propose, or decline work requiring material depth outside the agreed capability and responsibility boundary.
Service descriptions and pricing on the Site are for informational purposes and may change at any time. Final pricing, scope, deliverables, and timelines are established through a signed service agreement between you and CAM Software LLC. In the event of any conflict between these Terms of Use and a signed service agreement, the signed service agreement controls.
3. User Accounts
Certain features of the Site require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms of Use or engaged in fraudulent or abusive activity.
4. Payments and Billing
All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service in addition to these terms.
Pricing for services is as described on the Site or in your service agreement. We reserve the right to change pricing at any time, but changes will not affect existing signed agreements.
Refund Policy
All deposits, retainers, setup fees, and payments for completed or partially completed work are non-refundable except as otherwise stated in a signed service agreement between you and CAM Software LLC.
For ongoing care plans and subscription-based services, payments are non-refundable once the applicable service period has begun.
If CAM Software LLC terminates a project before any work has commenced and no signed service agreement provides otherwise, a refund may be considered based on the circumstances and any applicable written agreement.
Refund requests must be submitted in writing to support@camsoftwarellc.com. Any approved refunds are processed within 10 business days.
Specific refund terms, milestone payment schedules, and cancellation provisions for individual projects are governed by the signed service agreement for that engagement. In the event of any conflict between this section and a signed service agreement, the signed service agreement controls.
Engagement-specific support and transition
Any implementation warranty, defect-correction period, release support, response target, transition assistance, maintenance obligation, or post-engagement availability applies only when it is stated in the signed service agreement or statement of work. Public descriptions of the 90-day process do not create an unlimited support, uptime, response-time, or defect-free guarantee.
5. Intellectual Property
Client-owned work
Upon full payment for services, the client owns all custom code, designs, and deliverables produced by CAM Software LLC specifically for the client under the applicable service agreement. We act as contractors and transfer all intellectual property rights in such custom work to you upon project completion and final payment.
Pre-existing materials and reusable components
Notwithstanding the foregoing, CAM Software LLC retains ownership of all pre-existing materials, internal tools, starter templates, frameworks, libraries, reusable code components, methodologies, know-how, and generalized development practices used in delivering the services (collectively, "Pre-Existing Materials"). To the extent any Pre-Existing Materials are incorporated into client deliverables, CAM Software LLC grants the client a perpetual, non-exclusive, royalty-free license to use such Pre-Existing Materials solely within the context of their delivered project. This license does not include the right to sublicense, resell, or distribute Pre-Existing Materials independently.
Our Site
The content, design, and branding of the CAM Software LLC website (www.camsoftwarellc.com), including logos, text, graphics, and software, are the property of CAM Software LLC and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our Site content without written permission.
6. Client Identity, Portfolio Use, and Case Studies
CAM Software LLC will not identify a client, display a client name or logo, attribute a quote, publish client screenshots, or disclose identifying engagement details in public portfolio, case-study, website, proposal, or promotional materials unless the client has provided prior written permission for that specific use or the applicable signed service agreement expressly authorizes it.
CAM Software LLC may publish genuinely anonymized and generalized descriptions of technical or delivery lessons only where the information does not identify the client, reveal confidential information, or violate an applicable agreement. A client may request clarification or removal review by writing to support@camsoftwarellc.com.
Portfolio rights may also be addressed in the signed service agreement for a specific engagement. In the event of any conflict, the signed service agreement controls.
7. Confidentiality
CAM Software LLC takes the confidentiality of client information seriously. However, any specific confidentiality, non-disclosure, data handling, or security obligations related to a client engagement are governed by the applicable signed service agreement, statement of work, non-disclosure agreement, or separate written agreement between the parties.
These Terms of Use do not constitute a confidentiality agreement or non-disclosure agreement. Clients requiring specific confidentiality protections should ensure those obligations are documented in a signed agreement prior to sharing sensitive information.
For the avoidance of doubt, information that is publicly available, independently developed, or rightfully obtained from third parties without restriction is not considered confidential under any agreement with CAM Software LLC.
Additionally, clients and visitors should not submit protected health information (PHI), medical records, patient data, or other highly sensitive personal information through general website forms or unsecured communication channels unless expressly requested through a secure and approved channel. See our Privacy Policy for additional details on data handling and sensitive information.
8. No Guarantee of Results
CAM Software LLC does not guarantee any specific business, financial, operational, technical, regulatory, or marketing outcome from use of the Site or our services. This includes but is not limited to:
- Increased traffic, leads, conversions, revenue, or sales
- App store approval, ranking, or ratings
- Search engine rankings or SEO performance
- Compliance certification or regulatory approval
- Uninterrupted, error-free, or bug-free software performance
- Compatibility with all devices, browsers, operating systems, or third-party platforms
- Uptime, availability, or performance of any hosted application or website
While we strive to deliver high-quality work and follow industry best practices, all outcomes depend on factors beyond our control, and no representation or guarantee of specific results is made or implied.
9. Third-Party Services
Our services may rely on or integrate with third-party platforms, tools, APIs, hosting providers, payment processors, app stores, domain registrars, analytics tools, AI providers, or other software vendors (collectively, "Third-Party Services").
CAM Software LLC is not responsible for the availability, performance, security, pricing, policy changes, terms of service, data handling practices, or actions of any Third-Party Services. We do not warrant that Third-Party Services will remain available, compatible, or unchanged. Changes to Third-Party Services, including but not limited to API modifications, pricing changes, service discontinuations, outages, or policy updates, are outside our control and do not constitute a breach of our obligations.
Your use of any Third-Party Services is subject to the applicable terms and conditions of those providers.
10. Client Responsibilities and Compliance
While CAM Software LLC strives to follow industry best practices and will provide guidance where possible, the client is ultimately responsible for ensuring that their website, application, or digital product complies with all applicable laws and regulations, including but not limited to:
- ADA/WCAG accessibility requirements
- HIPAA (for healthcare-related projects)
- GDPR, CCPA, and other data privacy regulations
- PCI-DSS (for payment processing)
- Industry-specific regulatory requirements
We will assist with compliance to the best of our ability and share relevant information, but CAM Software LLC does not guarantee regulatory compliance and is not liable for any non-compliance of the client's product.
11. Electronic Communications
By submitting forms on the Site, creating an account, signing a service agreement, or otherwise communicating with us electronically, you consent to receive communications from CAM Software LLC electronically, including via email, push notification, or messages through the Site. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
12. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Site, other accounts, or our systems
- Interfere with or disrupt the Site or its infrastructure
- Submit false, misleading, or spam content through any form on the Site
- Scrape, crawl, or otherwise extract data from the Site without permission
13. Termination
We reserve the right to suspend or terminate your access to the Site, your account, or any services at any time, with or without notice, for conduct that we reasonably believe violates these Terms of Use, applicable law, or a signed service agreement. Grounds for termination include but are not limited to:
- Violation of these Terms of Use
- Fraudulent, abusive, or threatening behavior
- Non-payment for services rendered
- Failure to provide required assets, information, or cooperation necessary for project completion
- Use of our services for any unlawful purpose
Any payment obligations, intellectual property provisions, confidentiality obligations, indemnification obligations, limitation of liability, and other provisions that by their nature should survive termination will survive the termination of these Terms or any service agreement.
If a client is unresponsive or fails to provide necessary materials for a period of 30 consecutive days or more during an active project, and CAM Software LLC has made reasonable efforts to contact the client and obtain the required information or materials, CAM Software LLC reserves the right to consider the project paused, closed, or complete at its current stage. No refund will be issued for work completed or time reserved, and any remaining deliverables will be provided in their then-current state.
14. Limitation of Liability
To the maximum extent permitted by law, CAM Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services, including but not limited to loss of profits, data, business opportunities, goodwill, or anticipated savings.
Our total liability for any claim arising from these Terms of Use or our services shall not exceed the total amount you paid to CAM Software LLC under your service agreement in the 12 months preceding the claim.
This limitation of liability applies regardless of the legal theory on which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other basis.
15. Disclaimer of Warranties
The Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Site, or any websites, applications, integrations, or digital products created through our services, will be uninterrupted, error-free, secure, bug-free, or compatible with all devices, browsers, operating systems, or third-party platforms at all times. We do not warrant that defects will be corrected or that the Site or our servers are free of viruses or other harmful components.
16. Force Majeure
CAM Software LLC shall not be liable for any failure or delay in performing our obligations under these Terms or any service agreement where such failure or delay results from circumstances beyond our reasonable control. This includes but is not limited to: natural disasters, acts of war or terrorism, pandemics, government actions or regulations, internet or telecommunications failures, power outages, third-party service provider outages or disruptions, app store delays or policy changes, hosting provider failures, cyberattacks, and any other events beyond our reasonable control.
In the event of a force majeure event, affected timelines and deadlines will be extended by a period equal to the duration of the event.
17. Indemnification
You agree to indemnify and hold harmless CAM Software LLC, its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Site or our services
- Your violation of these Terms of Use
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights, including intellectual property rights
- Any content, data, or materials you provide to us in connection with our services
18. Governing Law and Dispute Resolution
These Terms of Use are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts located in the State of Texas.
Before initiating any legal proceedings, both parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of at least 30 days.
19. Entire Agreement
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and CAM Software LLC with respect to your use of the Site. These Terms govern your use of the Site and general interactions with CAM Software LLC.
For clients who engage our services, the signed service agreement for that engagement, together with these Terms and our Privacy Policy, constitute the entire agreement between the parties with respect to the services described therein. In the event of any conflict between these Terms and a signed service agreement, the signed service agreement controls.
20. Changes to These Terms
We may update these Terms of Use from time to time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised terms. We encourage you to review these Terms periodically.
